Cthulhu takes this, IMO. It wasn't easy for me to pick a winner, given how both combatants are beyond ridiculous in terms of feat and there are so many versions. Therefore, it probably helps to explain my reasoning. Cthulhu has three key advantages: 1) Durability. We all know the scene where Cthulhu got knocked-out by a steamboat and he's often mocked for that. The conditions for his summon weren't met yet, the stars weren't right so to speak. Cthulhu was probably somewhat sleepy and it's heavily implied that, once he rises for good, Cthulhu will be unstoppable. During this battle, Cthulhu probably won't be put to sleep with a single punch. youtu.be/NM0-dZ1SXaA?t=1024^Also, as JUST A ROBOT explained, the Cthulhu that sleeps at the bottom of the sea might just be an avatar. It's implied that the real Cthulhu is multidimensional and thus beyond the reach of Godzilla. Either way, I don't see Godzilla killing Cthulhu for good. You might point out that Cthulhu himself is featless and thus probably not capable of putting down Godzilla either. That's true, however, two more points. 2) Intelligence. Cthulhu has vast knowledge beyond what humans can even understand. He's capable of using technology, as he built the city of R'lyeh and it's well beyond human comprehension. His Star Spawn also waged a war against the Elder Things (as we saw in At the Mountains of Madness) which are a highly advanced alien civilization capable of FTL travel and building weapons that cause "atomic disturbances". If this fight goes on long enough, Cthulhu might be able to create a weapon that destroys Godzilla on the nano- or picoscale. 3) Magic. Lastly, Cthulhu is capable of magic. He can cause psychic dreams even while he's asleep and likely much more. His capacities are admittedly vague. However, with Godzilla having no real way to kill the Great Old One, I guess this will end with Cthulhu either building a weapon that can kill Zilla or mind-controlling the lizard into suicide somehow.
