The megalania will win not just due to size advantage and its venomous bite but because it has powerful jaws and a tail to whip. At the lower estimate, the Kodiak bear has a much better chance.

Megalania's teeth are much larger than those of Komodon dragon. The damage from the bite alone would be significant. As Green Arrow pointed out the tail also plays a part in her arsenal. The swipe of the tail of 2 meter varanid will knock any man off his feet. Including kick boxing champion, Olympic weight lifter or Olympic wrestler. Which means megalania can do the same to Kodiak bear. That becomes important if considering attacks from the rear. Megalania would have more success in a rear attack than Kodiak would.
As far as wrestling Varanids are actually very good wrestlers in their weight division. And megalania could easily keep up with the bear in this respect.
Bear's claws because of their size would be useful against smaller varanids but not something the size of Megalania. On the other hand Megalania could use her claws against the bear.
The venom factor comes to play. Bite anywhere will cause shock loss of blood pressure and uncontrollable bleeding. As you probably know.
Megalania's weight is 500 kg it might be more, but its unlikely that its less for the maximum weight. Which is comparable to Kodiak bear's weight.
Because combined weaponry and defense of megalania is superior to combined weaponry and defense of Kodiak bear. Megalania wins
